Bylaws (revised April 2003)

ARTICLE I- NAME
The club shall be known as "The Executive Referral Network" with a co-title of "A Network of Business Professionals" and shall be known by this name until such a time that the Board of Directors deems it necessary to change such name.

ARTICLE II - PURPOSE
SECTION 1: Executive Referral Network is an organization of business persons dedicated to the exchange of business leads.

SECTION 2: A LEAD is defined as a contact between two or more Club members which could potentially turn into a business transaction.

SECTION 3: This Club shall not be used in any way for political purposes

ARTICLE III: MEMBERSHIP
SECTION 1: Membership in this Club shall be on the Active Class only.

SECTION 2: Each occupational endeavor is represented by one member and conflicts of interest are not allowed.

SECTION 3: Prospective members must attend two consecutive meetings and submit an application and membership fee to the Treasurer, the application will be reviewed and considered for approval at the next meeting of the Board of Directors.

SECTION 4: An alternate may represent the member if that person represents the same company.

SECTION 5: A member shall pay the Membership Fee and Annual Renewal Dues and hold only one membership category. Annual renewal fees will be waived if any member recruits two new members in their calendar year.

SECTION 6: No person shall be eligible who holds membership in a similar club.

SECTION 7: Membership shall be owned by the individual or the Company who pays the initial Membership Fee and Annual Renewal Fee. If the individual or the Company leaves the Club in any manner, rights to the Membership are forfeited.

SECTION 8: Regular attendance at Monthly Club meetings is vital to the success of the Club. The monthly Social meetings are not mandatory but are recommended. At the discretion of the Board of Directors, any active member who, without excuse fails to attend regularly scheduled meetings shall at the discretion of a majority vote of the Board

of Directors be terminated and notified in writing.

ARTICLE IV - MEMBER REQUIREMENTS
A. Always have a fellow member satisfy business or personal needs whenever possible.
B. Recruit one new applicant that becomes a member of the Club in the first year.
C. Provide a minimum of two tips a month to any Club member.
D. To have a replacement in case of absence, that has knowledge of our Club.

ARTICLE V - TERMINATION
Reasons for termination include but not limited to:

A. Missing three (3) meetings during the year.
B. Failure to pay renewal dues.
C. Failure to adhere to the Bylaws of the Club.
D. Any conduct that brings the Club into public disrepute or violates the purpose for which this Club was formed.
E. Any willful failure or refusal to abide by the Articles, Bylaws. or Rules of the Club.
F. Any willful failure or refusal to pay any assessments levied pursuant to the provisions of these Bylaws.
G. Engagement in personal of professional misconduct or any act that would be detrimental to the members of the Club.

ARTICLE VI - OFFICERS
The officers of this Club shall be a President, Vice-President, Secretary, Treasurer, Sergeant of Arms, Tip Master, Membership Chairperson - all who shall be elected Annually, except for the office of Treasurer, which is a two year term.

ARTICLE VII - DIRECTORS
SECTION 1: There shall be a Board of Directors which shall consist of the President, the First Past President, Vice-President, Secretary, Treasurer, Sergeant at Arms, Tip Master - each of whom shall have one vote. The President shall preside over the Board of Directors and shall be the Chairperson of the Board.

SECTION 2: The Board of Directors shall have control and management of the Clubs activities, determine all policies, discipline members and generally supervise the affairs of the Club.

ARTICLE VIII - ELECTION PROCEDURES
SECTION 1: The election of new officers and Directors shall be held at the regular meeting in November. New Officers will take over responsibilities at the first meeting of the new year.

SECTION 2: in case of a vacancy in the Office of President the Vice-President shall succeed to the Office. In case of a vacancy in the Office of Vice-President, Treasurer or Secretary. the vacancy shall be filled by the Board of Directors.

ARTICLE IX - REVENUE
SECTION 1: Each new member of the Club shall pay a membership fee of $100.00 to join. and a $60.00 quarterly lunch dues to be paid in advance starting upon their acceptance into the Club. The membership fee is non-refundable unless applicant is refused membership. The said fees and dues are used to pay for materials deemed necessary to operate the Club and to pay for prospective members' lunches.

ARTICLE X - FINES
Fines are assessed in order to keep structure to our meetings and to impose a responsibility on our members to be courteous and productive to other members.

Fines include the following:
1. Failure to report your absence to the Club prior to the meeting - $ 3.00
2. Greeter or Speaker arrives past 7:45am (Greeter to sign in and welcome members and guests) $1.00
3. No show as Speaker or Greeter - $5.00
4. Entering the meeting after 8:00am- $1.00
5. Less than the REQUIRED two (2) leads per meeting $ 1.00/lead
6. Missing a meeting - $5.00

ARTICLE XI - MISCELLANEOUS
Any person who is proposed and accepted for membership in the "Executive Referral Network" shall be deemed to have accepted the terms of these Bylaws and subsequent changes approved by the Directors and shall be bound by them in all respects.

ARTICLE XII - NOT FOR PROFIT ORGANIZATION
This Club is organized and shall operate a not-for-profit organization for personal improvement and other similar non-profit purposes. Any income received shall be applied only to the non-profit purposes of the organization and no part of the income shall benefit any officer or member.

ARTICLE XIII - CLUB CONTRIBUTIONS
We have no current fund-raisers or charity of record.
